Terms of Use.

These Terms of Use (“Terms”) govern your access to and use of PayrollOne’s website, systems, and services. By accessing our website or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not use our website or services.
01_Acceptance of Terms

By accessing PayrollOne’s website, enrolling in services, or communicating with PayrollOne (including via SMS/text message), you acknowledge that you have read, understand, and agree to these Terms of Use and our Privacy Policy, which is incorporated by reference.

02_Services Provided

PayrollOne provides payroll processing and related services, which may include:

  • Payroll calculation and processing
  • Payroll tax filings and payments
  • Wage and tax reporting
  • Compliance-related payroll support

Services are provided based on the information supplied by the client and performed in accordance with applicable federal, state, and local laws.
PayrollOne does not provide legal or tax advisory services unless expressly stated in a written agreement.

03_Client Responsibilities
To allow PayrollOne to provide services accurately and timely, clients agree to:
  • Provide complete, accurate, and timely payroll, employee, and financial information
  • Review payroll reports and filings for accuracy
  • Notify PayrollOne promptly of errors, changes, or discrepancies
  • Maintain compliance with all applicable employment, wage, and tax laws
PayrollOne is not responsible for errors resulting from incomplete, inaccurate, or late information provided by the client.
 
04_Fees and Payment Terms
Service fees are communicated prior to service commencement or as outlined in a separate service agreement.
Unless otherwise stated:
  • Invoices are due upon receipt
  • PayrollOne may suspend services for nonpayment
  • Late or failed payments may result in delays to payroll processing or tax filings
Clients remain responsible for all payroll taxes, wages, penalties, and interest assessed by taxing authorities.
 
05_SMS/Text Messaging Communications
Description of SMS Use Cases
By providing your mobile phone number and opting in, you consent to receive SMS/text messages from PayrollOne. These messages may include:
  • Payroll processing reminders and confirmations
  • Tax filing notices and compliance updates
  • Account notifications and service-related alerts
  • Customer support communications
Message frequency varies based on account activity.
 
Opt-Out Instructions
You may opt out of SMS communications at any time by replying STOP to any message. You may receive a confirmation message confirming your opt-out. To re-enroll, reply START.
For help, reply HELP or contact PayrollOne using the contact information below.
 
Message & Data Rates
Message and data rates may apply based on your mobile carrier plan.
 
Carrier Disclaimer
Mobile carriers are not liable for delayed or undelivered messages.
 
06_Confidentiality and Data Protection

PayrollOne treats client information as confidential and handles data in accordance with its Privacy Policy. Clients acknowledge that payroll services require the transmission and storage of sensitive information and consent to PayrollOne’s use of secure electronic systems to deliver services.

07_Limitation of Liability
To the fullest extent permitted by law:
  • PayrollOne shall not be liable for indirect, incidental, consequential, special, or punitive damages
  • PayrollOne’s total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim
  • PayrollOne is not responsible for penalties, interest, or damages resulting from client-provided errors, third-party system failures, carrier delivery issues, or government processing delays
08_Service Suspension and Termination
Either party may terminate services with written notice, subject to any separate service agreement.
Upon termination:
  • All outstanding fees become immediately due
  • PayrollOne is not responsible for payroll or tax filings after termination unless otherwise agreed in writing
  • Clients are responsible for maintaining access to payroll records after termination
09_Age Restriction

PayrollOne services and communications, including SMS/text messaging, are intended for individuals 18 years of age or older. By using our services, you represent that you meet this age requirement.

10_Changes to These Terms

PayrollOne may revise these Terms from time to time. Updated terms will be posted on our website with a revised “Last Updated” date. Continued use of PayrollOne’s services constitutes acceptance of the updated Terms.

11_Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles.
